2. Services Provided

Promer provides Shopify merchants with AI-powered audit tools and store performance insights. Key features include:

• Homepage, product page, shopping cart, and collection page performance audits
• Store speed and conversion optimization insights
• Actionable, personalized recommendations based on store data

Promer operates within Shopify and does not require a standalone web platform.

3. Account Registration & Shopify Authentication

Promer requires authentication via Shopify. By installing Promer, you grant permission for us to access certain Shopify store data as detailed in our Privacy Policy. You are responsible for maintaining your Shopify account credentials and ensuring secure access to Promer.

4. Subscription & Billing

• Billing: Promer operates on a subscription-based model, with payments processed through Shopify's billing system.
• Cancellations: You may cancel your subscription via your Shopify admin panel. Your access to paid features will continue until the end of your billing cycle.
• Downgrade: If you downgrade your plan, changes will apply at the start of the next billing cycle.
• Refunds: All payments are non-refundable, except as required by law or Shopify’s refund policies.

5. Data Collection & Usage

Promer accesses certain Shopify store data to provide AI-driven insights and optimizations. Our Privacy Policy outlines:

• Merchant control over data access via Shopify Merchant Data Hub.

6. Third-Party Integrations & Data Sharing

Promer integrates with Shopify’s ecosystem and may share necessary data with third-party services such as:

• Analytics Providers to enhance platform performance.
• Payment Processors for subscription billing.
• Shopify API to facilitate AI-driven store audits and insights.

7. User Conduct & Responsibilities

By using Promer, you agree to:

• Use the app only for lawful e-commerce activities.
• Not engage in unauthorized data scraping or automated data extraction.
• Ensure compliance with Shopify’s Acceptable Use Policy.

Any violation may result in account suspension or termination.

8. Intellectual Property

• All software, UI designs, and algorithms are the exclusive property of Promer and its parent company, FireGroup JSC.
• Merchants retain ownership of any insights or reports generated for their store.
• Promer may use anonymized, aggregated data to improve platform performance and analytics.

9. Disclaimer of Warranties & Limitation of Liability

Promer is provided “as is” and “as available” without warranties of any kind. To the fullest extent permitted by law, we disclaim liability for:

• App downtime or service interruptions.
• Inaccuracies in insights or audit results.
• Unauthorized access to store data beyond our control.

We are not liable for any direct, indirect, or incidental damages resulting from your use of Promer.

10. Termination

• Merchants may uninstall Promer at any time via Shopify.
• We reserve the right to suspend or terminate accounts that violate these Terms or Shopify’s policies.
• Termination does not waive any outstanding obligations under these Terms.

11. Compliance with Shopify Policies & Privacy Laws

Promer complies with:

• Shopify’s Protected Customer Data Requirements to ensure secure data handling.
• Global data protection laws including GDPR, CPRA, and similar regulations

Merchants must ensure their use of Promer aligns with their legal obligations under privacy and consumer protection laws.

12. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Singapore.
• Any disputes will be resolved through arbitration or legal proceedings in Singapore, subject to Shopify’s jurisdictional policies if applicable.

13. Business Transfers

If Promer undergoes a merger, acquisition, or business transfer, we will notify users via email and in-app notifications. Merchants may choose to delete their data before the transition.

14. Modifications to Terms

We reserve the right to update these Terms. Significant changes will be communicated via email and in-app notifications before they take effect. Continued use of Promer after revisions constitutes agreement to the updated Terms.
