Terms of Service

Effective Date: March 28, 2026

Welcome to Promer. These Terms of Service ("Terms") govern your access to and use of the Promer platform, including:

  • The Promer web application
  • The Promer Shopify application
  • Any related services, tools, or integrations

(collectively, the “Service”).

By installing the Promer app, accessing the Promer website, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

These Terms should be read alongside our Privacy Policy, Cookies Policy, and Legal Notice.

1. Use of the Service

Promer provides AI ad creative performance platform that help merchants create, analyze, and optimize marketing creatives and store performance.

The Service may include:

  • AI ad creative generation tools
  • Ad concept discovery and inspiration tools
  • Creative editing and iteration tools
  • Store analysis and performance insights
  • Ad template libraries and frameworks

Promer may update, modify, or discontinue features at any time.

2. Account access

Promer may be accessed through Shopify authentication or a Promer web account. By installing Promer via Shopify, you grant permission for us to access certain store data as described in our Privacy Policy.

You are responsible for:

  • maintaining the security of your account
  • controlling access to your workspace
  • keeping your login credentials confidential

You are responsible for all activity that occurs under your account.

3. Intellectual property

3.1 Your content

You retain all ownership rights to the raw assets (images, videos, logos, product information, brand assets) that you upload to Promer ("User Content"). By uploading User Content, you grant Promer a worldwide, non-exclusive, royalty-free license to use, store, process, and display such content solely for the purpose of operating and providing the Service.

You represent that you have the legal right to upload and use all content submitted to Promer.

3.2 Generated content

Once generated, you own the rights to your final ad creative outputs ("Generated Content"). You may use Generated Content for commercial purposes, including advertising on Meta, TikTok, Google, or other channels, and this right continues even if your subscription ends or is cancelled.

3.3 Platform technology

All platform components remain the intellectual property of Promer and FireGroup JSC, including:

  • software and algorithms
  • template structures and generation systems
  • AI systems and design frameworks
  • UI design and documentation

Nothing in these Terms grants you ownership of Promer technology.

4. AI output responsibility

Promer uses AI to assist in creative production. AI-generated outputs may occasionally contain inaccuracies or unintended content. You are responsible for reviewing and approving all Generated Content before publishing or distributing it.

Promer is not responsible for:

  • misleading advertising claims in Generated Content
  • copyright violations arising from your use of Generated Content
  • policy violations on advertising platforms
  • inaccuracies produced by AI systems

5. Advertising performance disclaimer

Promer is a creative production tool, not an ad management service. We do not guarantee any specific advertising performance, including click-through rate (CTR), conversion rate (CVR), cost per acquisition (CPA), or return on ad spend (ROAS).

Advertising results depend on many external factors including product-market fit, audience targeting, platform algorithms, and campaign strategy. You are solely responsible for ensuring that Generated Content complies with the advertising policies of third-party platforms (Meta, TikTok, Google, and others). Promer is not liable for ad rejections, account suspensions, or legal actions resulting from your use of Generated Content.

6. Plans, credits, and billing

6.1 Free plan

Promer offers a free plan with no credit card required. The free plan includes a limited number of credits per month and access to a subset of platform features. Free plan credits reset at the start of each monthly cycle.

If you use all your free credits before the cycle resets, you can purchase top-up credits or upgrade to a paid plan to continue generating. Your account remains accessible, you will not lose access to previously generated content.

6.2 Paid plans and billing

Paid subscription plans are billed through Shopify's billing system (for Shopify app users) or directly via the Promer web app. Subscription fees are charged at the start of each billing cycle.

6.3 Credit system

Certain features operate on a credit-based model. Each generation or render consumes a set number of credits. When credits are exhausted, you can purchase top-up credits, upgrade your plan, or wait for your next monthly reset.

6.4 Cancellations and downgrades

You may cancel your subscription at any time via your Shopify admin or Promer account settings. Access to paid features continues until the end of the current billing cycle. Plan downgrades take effect at the start of the next billing cycle.

6.5 Refund policy

We don't offer refunds on paid plans. That said, you can cancel any time, your plan stays active until the end of your billing period, so you keep access to everything you've paid for.

If something isn't working or you're unsure whether Promer is right for you, reach out to support before cancelling, we're happy to help.

Refund requests outside this window or with any usage will not be honored, except as required by applicable law or Shopify's billing policies.

7. Data access and privacy

Promer may access certain Shopify store data to provide the Service. How we collect, use, and protect your data is described in our Privacy Policy. We comply with applicable data protection laws including GDPR and CPRA, and with Shopify's Protected Customer Data Requirements. We do not sell merchant or customer data to third parties.

8. User conduct

You agree not to:

  • use the Service for any unlawful purpose or in violation of Shopify's Acceptable Use Policy
  • reverse engineer, scrape, or extract data from the platform using automated tools
  • upload content that infringes third-party intellectual property rights
  • attempt to circumvent security features or gain unauthorised access to any account or system
  • use the Service to create content that is illegal, harmful, or promotes hate speech

Violations may result in immediate account suspension or termination.

9. Limitation of liability

The Service is provided "as is" and "as available." To the fullest extent permitted by applicable law, Promer is not liable for:

  • service interruptions or platform downtime
  • inaccuracies in AI-generated content
  • advertising performance outcomes
  • loss of revenue or profits

Our total liability shall not exceed the amount paid by you to Promer in the six months preceding the claim.

10. Termination

You may stop using the Service at any time. Shopify app users can uninstall the app to terminate access. Web app users can close their account via account settings.

We reserve the right to suspend or terminate your access for violations of these Terms or any applicable policy. Where possible, we will provide notice before taking action. Immediate suspension may occur without notice where required to protect platform security or prevent ongoing harm.

Termination does not waive any obligations or rights that accrued prior to termination.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated through email notifications, in-app notices, or website updates. Continued use of the Service after updates constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of Singapore, as a neutral commercial jurisdiction. Any disputes arising from the Service will be resolved under Singapore jurisdiction.
